Why?

The number 1 question is why, for that answer I guess we have to attend the meeting. Why have we not received these changes in the mail/email? Good question attend the meeting. Why wasn’t a newsletter sent the last newsletter on their website is May and none of this is mentioned. Yep, attend the meeting. They are not complying with Missouri law in which they are governed. Yep, attend the meeting and let them explain.

Let’s begin with their proposed changes, they want to eliminate Article V membership which states:

The Corporation shall have one class of members consisting of those individuals that are Members of the Central Auto Racing Boosters, Inc. The Members shall elect a Board of Directors of the Corporation as described in Section 6.3. The Members must approve, by majority vote, any proposed transaction of the Corporation whereby the Corporation must pay one thousand dollars ($1,000.00) or more.

This is the basis for taking over the Central Auto Racing Boosters Hall of Fame and Museum. As currently written this paragraph requires the Hall of Fame and Museum to report to the organization in which this Hall of Fame and Museum was started. In other words by making this proposal they do not want to report to anyone because as you will see later their Officers and Board of Directors become the controlling group of the C.A.R.B. Hall of Fame and Museum without any oversight. Voting for this is like voting for a dictatorship. Maybe the Russians have taken over this organization.

Remember these original Bylaws were written by attorney Nathan Thomas of Copilevitz & Canter, LLC when we filed for our 501c3. This clause was intentionally put it in at the request of the general membership so actions like this being suggested would not occur. This was one of the questions we asked and was answered at the July 2012 meeting.

Listed below this paragraph are the Officers and Board of Directors bylaw changes which we will be voting on. Not all of them are included because that is their job to distribute, but again these changes cannot be found on their website, or on Facebook, or any social media. You can ask for a copy from any Hall of Fame Officer or Board of Director but I asked for a copy from the President of the 501c3 via text utilizing the same telephone number listed in the Central Missouri Speedway press release and I still do not have a copy 3 days from the vote. Thank you to the Central Auto Racing Boosters 501c7, the original group, they provided a copy.

All such proposed rules and regulations for the conduct and the business of the Corporation may be adopted upon a majority vote of the Members. Board of Directors

Compensation for the services performed and expenses incurred by any such person or persons must first be approved by the General Membership of the Central Auto Racing Boosters, Inc. Board of Directors.

Any Officer or Director may be removed with or without cause at any time during their term by the majority vote of the Members, Board of Directors, if notice of intention to act on such matter shall have been given in the notice calling such meetings. A Director’ s successor may be appointed by a majority vote of the Members Board of Directors at the next membership Board meeting.

If the person appointed by the Board to fill the vacancy is not approved by the Members, then nominees will be immediately taken from the floor, 1with notification provided to all members in accordance with these Bylaws, and a vote taken at the next upcoming membership meeting.

Any vacancy on the Board of Directors arising at any time and for any cause, including the authorization of an increase in the number of directors, may be filled for the unexpired term at any meeting of the Members Board of Directors by a majority vote of the Members Board from candidates proposed by the Board of Directors. If the person appointed by the Board is not approved by the General Membership, then nominees will be immediately taken from the floor, with notification provided to all Members in accordance with these Bylaws and, a vote taken at the next upcoming membership meeting. Each director so elected shall hold office until the expiration of the term remaining as a result of the vacancy.

By resolution adopted by a majority of the full Board of Directors, the Board of Directors may designate from among its members Board one or more Executive Committees.

No director of the Corporation shall receive, directly or indirectly, any salary, compensation or emolument in his/her capacity as a director, unless authorized by the affirmative vote of the Central Auto Racing Boosters, Inc. general membership remaining Board of Directors.

Wow they could vote to pay themselves, maybe this is what is behind this crazy idea.

Central Auto Racing Boosters Hall of Fame and Museum, Inc. shall hold meetings, with the General Membership of Central Auto Racing Boosters, Inc. members to propose rules and regulations for the conduct and business of the Corporation.

General Membership Board of Directors meetings of the Central Auto Racing Boosters Hall of Fame and Museum, Inc. may be called for by the Central Auto Racing Boosters Hall of Fame and Museum, Inc. President or any two (2) Central Auto Racing Boosters Hall of Fame and Museum, Inc. Board members currently in office.

As you can see the Officers and Board of Directors of the Central Auto Racing Boosters Hall of Fame and Museum are attempting to rid themselves of the Central Auto Racing Boosters General Membership. Apparently. they do not want to be a part of our group. That might be a great question to have each Officer and Board of Director answer in front of us members. We will then know who is a true member and who is a person who desires to not be accountable to anyone. This is an obvious attempt to steal the Central Auto Racing Boosters Hall of Fame and Museum from the membership.

Just a reminder the meeting is at the Woodneath Library, 8900 Flintlock, Kansas City, Missouri 64157 starting at 1:30. Flintlock is a major intersection off of Highway 152 as you are approaching Liberty, Missouri travelling east bound. Turn north on Flintlock.
